Responsibilities:
Provide legal advice and support on capital markets transactions for a wide range of domestic and international issuers and debt, equity and equity-linked products, including registered offerings, exempt offerings, private placements and other securities transactions.Draft, amend, review and advise on a broad range of pre-transaction and transaction documents, including engagement letters, offering documents, underwriting agreements, purchase agreements, disclosure materials, comfort letters, opinions, closing deliverables and related transaction documentation.Advise business units, legal teams and other stakeholders throughout the transaction lifecycle, from initial pitch and structuring discussions through due diligence, documentation, execution and closing.Work collaboratively with internal legal teams, associates, partners, bankers, business stakeholders and external counsel to manage transaction p...
