Associate Counsel

Private Equity Firm in Midtown, Manhattan is seeking an Associate Counsel for a full-time position!

Responsibilities:

• Provide legal support and guidance on debt investments across the capital structure.


• Work closely with investment professionals to assess legal risk and develop practical solutions.


• Advise on legal and transactional aspects of the firm's credit investments, financing arrangements, fund structures, and related initiatives.


• Review, draft and negotiate documents including credit agreements, confidentiality agreements, side letters, financing documents and investment-related contracts.


• Coordinate with outside counsel on fund formation, financing, regulatory and transactional matters.
