I. Job Summary

The Corporate & Transactions Paralegal reports to the Assistant General Counsel - Mergers & Acquisitions and also provides direct support to the Corporate Subsidiary Manager. This role supports a broad range of mergers and acquisitions and general corporate matters, with approximately half of the time dedicated to M&A activity, including transaction support, due diligence, transaction document review (including but not limited to, nondisclosure agreements), document organization, coordination among internal and external parties, closing preparation, and file management. The remaining time is dedicated to corporate subsidiary management, including maintaining databases, drafting and maintaining organizational and governing documents, preparing and managing resolutions, preparing and filing mergers and dissolutions, and consulting on issues related to signature authority, approval authority, organizational structure, and corporate history.
